Mindworks Terms of Service
1. Who these terms are between
These Terms are an agreement between [Mindworks, Inc.] ("Mindworks," "we," "us") and the business or person using our services ("you"). By creating an account or using Mindworks, you agree to these Terms. If you're agreeing on behalf of a company, you confirm you have authority to do so. Mindworks is built for business use, not personal or consumer use.
2. What Mindworks does
Mindworks is a business software platform that may include procurement (purchase orders, goods receipts, vendor bills), customer relationship management (CRM), and quote-to-cash (quoting, billing, invoicing) tools, along with related features we make available.
3. Your account
Keep your account information accurate and your login credentials secure. You're responsible for activity under your account and for the people you give access to. Tell us right away at [security@mindworks.com] if you think someone has accessed your account without permission. You must be at least 18 to use Mindworks.
4. Acceptable use
Please use Mindworks lawfully and reasonably. Don't try to break, copy, resell, or reverse-engineer the service; don't use it to store or send anything unlawful; and don't use it in a way that harms the service or other users. We can suspend access if use creates a security, legal, or compliance risk.
5. Your data
Your data is yours. We process it only to provide and support the service. You're responsible for having the right to use the data you put into Mindworks — including information about your contacts, leads, and customers in the CRM — and for following privacy and anti-spam rules when you use Mindworks to message them. Our handling of personal data is described in our [Privacy Policy]. The formal Terms will include a Data Processing Addendum for personal data.
6. Bank connections and payments
Some features let you connect bank accounts and move money. These run through third-party providers — currently Plaid (bank connections and transfers) and Dwolla (payments). A few things to know:
- Mindworks is not a bank and does not hold your money. Funds are held and moved by our payment providers and their financial-institution partners.
- To use payment features, you may need to accept the payment providers' own terms and privacy policies, which are separate from these Terms.
- You're responsible for the accuracy of payment details and for the payments you initiate, including any that get returned or reversed (for example, ACH returns).
- You're responsible for following the laws that apply to your payment activity.
We'll spell these payment terms out more fully in the formal version.
7. Documents you create
Quotes, invoices, contracts, and similar documents you create in Mindworks are your responsibility — including their content, accuracy, and legal effect. Mindworks gives you the tools; it doesn't provide accounting, tax, financial, or legal advice. Please check outputs and consult professionals where it matters.
8. Fees
You'll pay the fees in your order or plan. Unless we say otherwise, fees are non-refundable and don't include taxes. We can suspend the service for non-payment after letting you know.
9. As-is; limits
While we're at this early stage, Mindworks is provided "as is," and we don't make formal warranties about it. To the extent the law allows, we're not liable for indirect or consequential losses, and our total liability is limited to the fees you've paid us. The formal Terms will set this out in detail.
10. Ending the service
You can stop using Mindworks at any time. We may suspend or end access if you breach these Terms or if required for security, legal, or payment-compliance reasons. After your account ends, we'll give you a reasonable chance to export your data before deleting it.
11. Changes and contact
We may update these interim Terms, and they'll be fully replaced by a formal version. Questions: [legal@mindworks.com].
